ABDI EXPERT : Merger or Sale
ABDI mission will be :
- To define the target company.
- To write a teaser under a code name to anonymously solicit potential candidates.
- To identify and search for potential buyers.
- To have the candidate sign a NDA.
- To draft a document presenting the company in its various aspacts that will serve as a support during meetings with potential buyers. It will be established in collaboration with the client.
- To inform the customer by email after receipt of the signed NDA of the candidate’s name.
- To negotiate the terms and conditions of the LOI (Letter of Intent).
- To assist the client in various aspects of the negociation.
- To propose the most appropriate arrangement to optimize the valuation, dilution and conditions of the shareholder’s agreement and liability guarantee.
- To coordinate the entire operation.
ABDI EXPERT : Acquisition
ABDI mission will be :
- Set the target search.
- To search and identify the target company.
- Let have a signed NDA.
- To negociate the LOI (Letter Of Intent).
- To assist the customer in various aspects of the deal.
- To propose thr most appropriate arrangement to optimize the valuation, dilution and conditions of the Shareholders’ agreementt and the liability guarantee.
- Coordinate the entire operation.
